20__年是我进入集团工作的第三年。在公司领导的大力支持下,集团及各子公司的法律事务已基本开展起来,并逐步渗透企业经营的各个方面。在过去的一年中,我在努力做好企业风险防控具体工作的同时,也努力提升自己的综合能力,学习培育新人,量才分工,为自己也为集团的法务工作寻求由个人到团队的突破。
与去年相比,今年的法务工作已进入相对成熟的一年。各子公司的经营活动均异常活跃,也正因此,这也是非常忙碌的一年。一方面,国海广场全面竣工,在交房、招商、物业管理、收尾工程处理、质量保修、工程结算等活动不断开展的同时,诉讼案件也大量增加;另一方面,回迁房项目的开发建设工作也在今年开展的如火如荼,审计、付款、监管、发包、施工等相关问题也日益增多,法律支持均须与其如影随形。
一、概况
本年度,法务共起草、审查、修改合同类文本约474余件(不含重复审查、修改、盖章审查等),其他法律文本约90份;在诉讼及纠纷处理方面,配合外聘律师处理的诉讼案件共计51件。其中部分案件至今仍未审结。
二、总结
这一年相比去年,任务难度艰巨了许多,任务数量也增加很多。时间紧促,质量又不能放松,压力相对较大。但无论如何,我都很清楚自己的职责与定位。我秉持的一贯原则,即不管任何部门、任何人员报送的任何文件,只要存在问题,绝不轻易放过一个,不管任何部门、任何人员,只要可能了解、知道案件情况的,绝对向其打破沙锅问到底。以期能够在最大程度上保护公司权益,降低经营风险,协助各相关部门,做好相应的经营活动,防患于未然,力争顺利完成领导交办的各种任务。
但随着工作内容的逐步深入,工作范围的不断扩大,法务工作的团队协作越发显得重要,毕竟一个人无法承担所有。这里的团队协作,即指法务内部,公司法务与外聘律师,也指法务外部,法务与集团各子公司及其各相关部门。

另一方面,随着公司部门架构的不断完善,各部门职能及权责亦应随之明确。法务工作的只是其中一辅助环节,一项工作能否完成,完成的效果如何,仍需以相关业务部门的工作情况为主要依托,法务仅是协助,提供支持,给予建议,而非替代,亦无法替代。
目前,我司的法务工作大多停留在补救阶段,先期风险防控、合规性审查等方面仍显滞后。下一步,我们将在处理遗留问题的基础上,尽可能提前介入各相关经营环节,加强对前期工作的风险控制力度,力求为公司的规范性经营、多元化发展提供一个良好有序的法律平台。

2016年又是公司迅猛发展的一年,无论是内部战斗力,还是外部影响力,均有很大提升,比如房屋销售营业额破****亿再上新台阶,****称雄为国争光,作为公司的一名普通职工,我也很有自豪感。随着年底的临近,***年的工作接近尾声,也到了该对这一年工作进行总结的时候,对比公司的重大成就,总结自身日常工作中的进步与不足,以作为对自己日后工作的加油与鞭策。
作为合同管理部的一名普通员工,在领导和同事的帮助下,我自认为在本职工作岗位上做到了勤勉尽责,能够达到工作岗位的职责要求,当然在工作中也存在一定的过失,值得总结教训。
一、 合同审核方面
2016年我先后负责的合同审核范围包括:***、***、***、***、全过程合同及年度合同的审核以及全部商品房买卖合同的抽查审核工作,并配合招投标部、采购部、营销部等部门针对这些项目进行招文会审、招标策划以及开标工作。起草、审核或抽查合同约800份,其中除根据工程正常进展报审合同外,解除合同约10份,变更合同约60份,发审核意见函约50份。个人认为,在合同报审中,合同管理部主要是一个服务配合部门,其职责是积极配合业务需求部门,做好合同审核工作,既要尽量杜绝或降低法律风险,又要满足公司发展进度需求,不耽误合同的签订下发。我也是以此为导向进行工作的,应该说2016年合同审核工作,基本满足了公司发展进度,达到了风险防范的需求。
二、 法律事务方面
在诉讼方面,先后处理****公司诉****技术(委托)合同纠纷案;莱芜金碧项目***、***等六商品房买卖合同纠纷案;****项目***、***两煤气中毒侵权责任纠纷案;****行政处罚强制执行案;****商品房买卖合同纠
纷案等,其中***商品房买卖合同纠纷的处理,虽经历立案时的不顺,但最终以完胜结案,通过诉讼追收回款544万元,调解、判决的违约金比例达到商品房买卖合同总价款的6%-7%,追究违约金43万元。***、***两侵权责任案件属于标的额不大(共计五万余元)的“小案子”,但该案的复杂程度及运用的诉讼手段远超一般标的额较大的案件,取证、开庭、协调关系前后十多次,导致案件拖延时间很长。当然经过各方面努力,结果应该比较理想,现经沟通主办法官,将于近日下发判决书,判决我司胜诉。分析本案拖延的原因,主要因为我司保安煤气中毒发生前后,物业公司经办人员未留下任何书面证据。缺乏证明案件基本事实的直接证据,全部为申请法院调取。
经过这些案子的处理,我认为管理过程中的法律风险防范确实至关重要,比如,商品房买卖纠纷应该做好过程取证工作,催款、解除函件应做到及时、完整、闭合,环环相扣,东营营销部在这方面做的非常到位,可以作为借鉴。煤气中毒案给我的启发是处理公司事务过程中,一定要防患未然,落实到直接证据,比如合同、收据、录音录像等。淄博文物局行政处罚案给我的体会是,针对政府机关部门的管理行为或处罚措施,不能回避、怠慢,应根据法定程序积极回应,及时提出疑问、异议,并及时决策、处理,以免错失法律上的程序救济。
在非诉方面,主要处理的问题有业主索赔谈判、起草或审核对外发函、解答各专业部门的法律咨询以及物业公司专项用工纠纷的处理等。其中参加****及****交楼项目业主索赔谈判约20次,谈判业主近80户;根据招投标部、预决算部等需求部门的要求起草或审核相关函件70余份;物业公司***人身损害赔偿纠纷,圆满解决,公司成功将法律责任全部转移。应该说我负责项目的法律咨询、谈判、发函等日常非诉法律事务均能满足公司正常法律保障需求。
三、 工作中存在的问题及整改措施
2016年的工作中,虽然能够在合同审核、法律事务处理中满足公司工作需求,没有实质性大的错误,但确实存在一定的过失,被问责过两次,值得反思与检讨。
其中一次问责是因为****商品房案件未能与同一批次的其他地区同类案件同时立案;另一次问责,是因为开发部进度紧急,未按照正常程序走审批流程,盖章时的合同版本被对方篡改,未能及时发现,虽然后来得以弥补,但毕竟给领导工作带来了被动。
尽管都是事出有因,比如第一次是因为****法院立案庭受被告业主社会关系影响违法办案(故意刁难、拖延立案),直到我司到当地人民代表大会控告督办,才得以成功立案。但作为公司管理来讲,公司或领导要的是结果,解决问题是关键,过程如何特殊是次要的。所以,不管原因如何,结果出了问题,就应该承担相应的责任,日后的工作就应该接受教训。一件事情的失败或过错,先不要讲原因,不需要为失败找理由,而应该尽快为成功找出路。
我相信,总结过去一年的工作只是一种手段,能够藉此促使自身进步,为未来的工作提供规律、经验、教训、方式方法才是最终目的。在2016年度工作中,我应该继续做到严谨、细心、多观察、多学习、多总结,以维护公司合法利益为导向,立足本职工作,兢兢业业,争取有新的提高和发展。
